You shall agree the Terms and Conditions of the use of Driver Files  ("Terms") to download our driver files for Qualcomm's ASIC. ​

When you request us to provide the download link, it shall be deemed that you have read and agreed to comply with the “Terms” above.​

This Terms and Conditions of the driver files ("Terms") apply to the driver files and their related documentations which connect the electronic compass IC products of Asahi Kasei Microdevices Corporation ("AKM") with the ASIC of Qualcomm, Inc. ("Qualcomm").

AKM grants the use of the foregoing driver files and their related documentations (collectively, "Software"), subject to your acceptance of the following conditions:

1.1 You shall enter into the agreement with Qualcomm for the use of Qualcomm's ASIC and/or software before using the Software.

1.2 You are solely responsible for installation and use of the Software. 

1.3 Unless otherwise approved by AKM in writing, you shall have no right to, and shall not:

• i)  assign, sublicense, resell or otherwise transfer or disclose the Software to any third party for any purpose

1.4 Except for the right expressly granted to you herein, all rights in and to the Software are reserved to AKM, Qualcomm or relevant third party licensor. You shall not delete nor change any copyright, trademark, or other proprietary notices included in the Software.

1.5 Upon any breach of the conditions herein, the right granted to you herein shall be canceled and you are obliged to cease and have ceased any use of the Software immediately and to delete or destroy the originals and all copies of the Software then in your possession or control.

You shall indemnify and hold harmless AKM from and against any and all cost, loss, damages, liability, or expense (including court costs and reasonable fees for attorneys or other professionals), arising out of or resulting from Qualcomm or any third party claims in relation to the use (including in combination with any other goods or software) of the Software or any breach of the conditions hereunder or Agreement by you.

THIS SOFTWARE IS PROVIDED BY AKM "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY'S INTELLECTUAL PROPERTY RIGHT ARE DISCLAIMED. IN NO EVENT SHALL AKM BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE SOFTWARE, EVEN IF AKM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
